MaineStreet Business Building Terms & Conditions


The MaineStreet Business Building holds to the strictest standards and ethics of confidentiality pertaining to both verbal and written communications. MSBB also adheres to the protocol and policies of non-compete and non-replication. MaineStreet Business Building is a program of Sunrise County Economic Council.


1. GETTING STARTED

Business Hours

The MaineStreet Business Building’s (MSBB) normal business hours are from 8:30 AM until 4:00 PM (closed for lunch from 12:00 until 1:00 PM), Monday through Friday, except for observed holidays or days that team members are at other mandated training or conference events. In the event MSBB is closed, notice will be provided on MSBB's social platforms. All office rental and coworking members are permitted to use the facility on a 24/7/365 basis by using their access key cards. Guests will need to be let in by the members if they visit outside of normal business hours as the building will be locked and only accessible by key card. Electricity, heating and air conditioning will be provided for suitable occupancy of the premises, 24 hours a day, seven days per week.


Security & Building Access

Members will receive key cards to use for entering the building from either Main Street or from the public parking side of the facility (Floor 1 only). These cards are issued by the MaineStreet Business Building (MSBB) Manager upon sign up. Office members may also receive a physical key for their office door. Members agree to notify the MSBB Manager immediately if a key card or physical key is lost or stolen. Upon ending membership, key cards and all keys issued to the member by MSBB must be returned to MSBB Manager immediately. Key cards from employees or members who vacate the premises must also be immediately returned.

MaineStreet Business Building will provide camera monitoring at the entrances and exits on both floors which will be active on a 24/7 basis and will log activities to ensure a safe environment for all. Fire monitoring systems are also in place at MaineStreet Business Building. Reception is not provided at MaineStreet Business Building. If the building is locked, members may use their key cards to access the building. MaineStreet Business Building members and users of the space are individually responsible for greeting clients and ensuring any clients they are inviting into the building are able to gain access.

Corporate coworking members are solely responsible for the care of key cards held by their business designees and building access of their business designee key card holders.

Professional Services & Amenities

The following services are free of charge to MSBB members:

• Building utilities; each space and office has individual air control

• Business plan development assistance, individual coaching, and other technical assistance

• Access to exclusive newsletter that includes statewide and local business events, programs, successes, funding opportunities, and more

• Use of the 19 Main Street conference room on a periodic basis and as available (must be booked with MSBB Manager and/or booking platform)

• Use of the video conference booths on Floor 1 of 19 Main Street as available

• Up to 500Mbps of shared internet connectivity via a third-party provider. Members are responsible for any and all internet security needed to protect activities of their company and business operations. Instructions on how to connect to the Internet are sent to the Member from the MSBB Manager upon moving in

• Mailbox for resident members and mail forwarding and shredding for virtual members, so long as and all monies owed to MSBB are current

• Periodic roundtables (virtual, in-person, hybrid) for the Washington County business community to connect, share, and learn

• Fully furnished professional, comfortable workspaces

• Shared kitchen/break area including full-sized refrigerator/freezer, dishwasher, microwave, dishes, flatware, kitchen supplies

• Shared professional, high-end office equipment on both floors (printer/copier*, scanner, email capabilities) as well as video conference capability in the conference room and training area

• Comfortable fully furnished relax zone and river view patios

• Free or reduced-cost access to business events and professional development

• Coffee, tea, and water

Basic printing/copying is generally included in rental/membership fee; however, if regular large print/copy jobs are necessary, member should let MSBB Manager know, and suitable print/copy fees may be added to monthly invoices. Manager may refer member to local print companies in the area for more extensive professional printing services. Membership agreements outline associated charges if print jobs exceed standard limits.


Liability Insurance Requirement

All members must have Liability Insurance. MSBB is a program of Sunrise County Economic Council, which requires copies of each member’s insurance certificate. MSBB is asking that all members have their insurance current and a copy of the “Certificate of Insurance” forwarded to the MSBB Manager. Below is the section of the original MSBB Lease Agreement referencing insurance.

Indemnification and Insurance. The Tenant will indemnify and hold harmless and assume the defense of the Manager, its agents, employees and officials, including the Manager of the Property from any and all claims, liabilities, judgments, costs, damages and expenses of any nature whatsoever, including the cost of defending such claims, which may accrue against, be charged to, be recovered from or sought to be recovered from the Manager, its agents, employees and officials, including the Manager of the Property by reason of or on account of any personal injury, sickness, or death of any person or damage to property arising from the Tenant’s use and occupancy of the Premises and the operation of its business on the Property.

In order to affect the same, the Tenant agrees to purchase and keep in full force and effect at all times during the term of this Lease, commercial general liability insurance with limits of at least one million dollars ($1,000,000) per occurrence, for injuries to or death of persons, and at least one hundred thousand ($100,000) per occurrence for damage to property. Such insurance shall name the Manager, its agents, employees and officials and the Manager of the Property as additional insureds under the policy.


2. FACILITIES

Facilities Accommodation Standards

Guaranteed minimum standards:

• Room environment - clean, non-hazardous (note: leave trash cans outside the suite doors at the end of the week to have them emptied)

• Electricity - all spaces are equipped with outlets that comply with local codes

• Lights – individually controlled lighting is provided in each space

• Security - doors with locks, windows with internal latches

• Keys - one access badge for each business principal to access the building entrances and one metal key each office rental as requested.

• Replacement keys can only be copied by MSBB staff and can be ordered through the MSBB Manager and will be included on the subsequent rental/membership invoice

• Loss of keys is to be reported to MSBB within 24 hours. Members are responsible for any costs occurring from the loss of any security keys that result in the need to replace locks to all entrances; or for loss of metal keys that also require replacement keys. It is not permitted to alter/change existing locks.

• Members with windows are responsible for keeping their office windows closed and locked in their absence and may be held liable for any damage caused otherwise.

• Members with glass doors may not block light coming through the glass on windows or on doors. If more privacy is desired, Members can request privacy film at $100/door.

• Key cards or keys may not be used by non-members.


Renovations & Modifications

• Members will not make any structural alterations nor add or remove fixtures nor interfere with any electrical installations on the premises. Requests for structural alterations must be made in writing to the MSBB Manager. No work can begin on any renovations until approved by the Sunrise County Economic Council. All quotes for work to be done and the work itself, if approved, will be paid for by the member.

• Any signage, posters, additional décor by members must be respectful and non-offensive. MSBB is committed to maintaining a pleasant, fair, and safe environment for all who occupy and visit 19 Main Street, Machias.

• The member understands that any fixed/permanent modifications and improvements (e.g.: partitions/carpets/shelving, etc.) made or undertaken must be made at the member’s own expense and will, at MSBB’s discretion, become assets of MSBB and must remain on site when the Lease Agreement expires or be removed, and the area restored to its original condition.

• The member understands that they are responsible to meet, at their cost, all occupational health and safety regulations applicable (especially OSHA building regulations) pertaining to any improvements or changes that they make or undertake to their area. MSBB makes no representation about the acceptability of the premises for member compliance with Occupational Safety & Health Administration requirements and such compliance is the member responsibility.

• Members accept the suite in its current condition at the time of signing the agreement.

• Members must request painting needs through the MSBB Manager. Requests must be made in writing. MSBB will need to confer with Sunrise County Economic Council to ensure the proposed color scheme is compatible with the rest of the common areas. No painting of suites may be done until fully authorized by SCEC and painting, if approved, must be performed by someone authorized by MSBB.

• Members must pay all up-front costs of any additional furnishings, fittings, finishes, fixtures and renovations required.


Suite Maintenance/Repairs

If something in your leased areas is in need of repair or maintenance, please contact the MSBB Manager immediately. The MSBB Manager can provide you with a timeframe regarding MSBB’s coordination and completion of repairs and maintenance requests.


Meeting Areas & Conference Rooms

To book a conference or meeting area, please contact the MSBB Manager and/or request via booking platform. There is no guarantee to a specific meeting rooms’ availability.


Parking

Public Parking is available behind MSBB, along the river and along Main Street. Parking is free.


Personal Belongings at the Facility

Members are requested to store all personal belongings in their leased area unless alternative arrangements have been made with the MSBB Manager. MSBB Insurance covers the cost of structures and MSBB-owned furniture and equipment, and no contents owned by members. All members must carry appropriate liability coverage. See the MSBB Manager to ensure you are compliant and see the Liability Insurance Requirement Section for a reminder of the liability coverage that is required.


Mail and Package Delivery/Handling

Mail is sorted by the MSBB staff and placed in your mailbox or office. Please see the MSBB Manager if you need assistance with postage; postage for items mailed on your behalf will be charged to you on your next rent invoice. Packages will be received during open hours and placed in the resident member's office or safely stored in the main office (Room 101).

 

Common Areas

The common kitchen area on Floor 1 is for all MSBB members. It includes a refrigerator/freezer, microwave, dish washer, sink, dishes, flatware, and a Keurig with coffee and tea pods. MSBB also has two river view patios (off Floor 1 and Floor 2) which are available to all members. There is a common area lounge on Floor 2 that is a relaxation area available to all members (also known as a “relax zone”). The entire open area on the first floor is accessible and available to all members and also used for training and networking events.

Coworking members are encouraged to use the conference room or video conference booths on Floor 1 to conduct private phone calls/meetings.


Keys

Key cards and one set of metal keys will be provided by MSBB to office members, as well as key cards for team member designees at the business principal's request. Key cards and physical keys can only be copied by MSBB staff and can be ordered through the MSBB Manager. Cost for additional metal keys and/or security badges will be the member’s responsibility and will be included in the monthly rent invoice.


3. POLICIES AND RULES

Smoking

Smoking is strictly prohibited in all areas inside the MSBB or on the MSBB grounds.


Service Animals

Service Animals are allowed to accompany members or guests. A Service Animal is defined as a dog that has been individually trained to do work or perform tasks for an individual with a disability. 


Assistance Animals

Assistance animals or pets are not allowed inside the MSBB or on the MSBB grounds, whether during or outside of normal business hours.


Fire Protection

MSBB maintains fire protection equipment and systems. Members should familiarize themselves with the exit locations and location of fire equipment, as required by OSHA. MSBB, 19 Main Street, has a mix of heat detectors and smoke alarms.


Security Monitoring

MSBB maintains and archives interior and exterior video security at 19 Main Street, Machias at all times. Business operations and building use shall remain confidential. 


Hazardous Materials

Members shall not (either with or without negligence) cause or permit the escape, disposal or release of any hazardous or toxic substances in, on or under the Leased Premises, except in compliance with all Environmental Rules applicable to the Leased Premises, now in effect or hereafter enacted. Tenant agrees that the Leased Premises, at all times during its use and occupancy thereof, shall be kept and maintained so as to comply with all Environmental Rules applicable to the Leased Premises, pertaining to the use, storage and disposal of all Hazardous Substances. Payment of Accounts

The payment of member’s MSBB accounts are due the first day of each new month. Monthly Memberships renew automatically every 30 days on the first of the month. Member’s credit/debit card on file will be charged unless otherwise arranged. Members who are experiencing financial difficulty in their business that is likely to affect due payment of MSBB accounts are encouraged to speak to the MSBB Manager as soon as the problem is anticipated (e.g.; before the account is due).


Wi-Fi Network & Facilities Use

Any member or individual connected to MaineStreet Business Building and/or Sunrise County Economic Council networks are prohibited to access or display sexually explicit or offensive material in the space. Members shall not use the facilities or internet for illegal activities and agree to report any illegal, unsafe, or inappropriate behavior observed.


Website Data and Cookies

MaineStreet Business Building will not sell or give out your personal information for any reason. MaineStreet Business Building and its website keep cookies only for the use of user navigation while on mainestreetbusiness.org. 


4. VIRTUAL COMMUNITY

Virtual Community Access

MaineStreet provides Participants with access to a virtual community platform for networking, collaboration, and information exchange. Participants must be registered members to access the virtual community. Registration requires accurate and up-to-date information. Access to the virtual community is granted at the discretion of MaineStreet Business Building Management and may be revoked for violation of these Terms.


Code of Conduct

Participants agree to engage in respectful and professional behavior within the virtual community. Harassment, hate speech, offensive language, and inappropriate content are strictly prohibited. Participants shall not engage in any activity that may disrupt the virtual community's functionality or harm its reputation.


Content Sharing

Participants may share relevant information, insights, and resources within the virtual community. Participants are responsible for the accuracy and legality of the content they share. MaineStreet Business Building is not responsible for the content shared by Participants and does not endorse any views expressed.


Privacy and Confidentiality

Participants are expected to respect the privacy of others and not share personal or confidential information without explicit consent. MaineStreet Business Building shall implement reasonable measures to protect the security and privacy of Participants but is not liable for unauthorized access.


Intellectual Property

Participants retain ownership of the content they share in the virtual community. By sharing content, Participants grant MaineStreet Business Building a non-exclusive, royalty-free license to use, reproduce, and distribute the content within the virtual community.


Termination

MaineStreet Business Building reserves the right to suspend or terminate a Participant's access to the virtual community for violation of these Terms. Participants can terminate their participation at any time by notifying MaineStreet Business Building Management.


Disclaimer of Liability

MaineStreet Business Building provides the virtual community "as is" and is not responsible for the accuracy, reliability, or quality of content shared. MaineStreet is not liable for any damages or losses arising from the use of the virtual community.


Modifications

MaineStreet Business Building may update these Terms as needed. Participants will be notified of any changes.


5. GOVERNING LAW

All aforementioned Terms are governed by and construed in accordance with the laws of Maine. Any disputes shall be subject to the exclusive jurisdiction of the courts of Maine.

All members of MaineStreet Business Building (members at 19 Main Street, Machias, Maine as well as virtual community members) accessing and participating in the MaineStreet Business Building's property and services agree to these Terms and acknowledge that they have read and understood them. Failure to comply with these Terms may result in the termination of access to MaineStreet Business Building and/or its services.
